These Terms of Use ("Terms") constitute a legally binding agreement between you and CodeAuthenticityCheck ("Company," "we," "us," or "our") governing your access to and use of the Code Authenticity Check website, platform, services, applications, and related resources (collectively, the "Services").

By accessing, browsing, or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you must not use the Services. We reserve the right to modify these Terms at any time. Your continued use of the Services after the posting of changes constitutes your acceptance of the modified Terms.

You must be at least 18 years of age (or the age of majority in your jurisdiction) and have the legal capacity to enter into a binding agreement to use the Services. By using the Services, you represent and warrant that you meet these requirements.

You must not use the Services if you are prohibited from doing so under the laws of your country of residence or any applicable jurisdiction. It is your responsibility to ensure that your use of the Services complies with all applicable local, state, national, and international laws and regulations.

Certain features of the Services may require you to create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate and complete. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You agree to notify us immediately of any unauthorized access to or use of your account or any other breach of security. We will not be liable for any loss or damage arising from your failure to protect your account credentials.

We reserve the right to suspend or terminate your account if we suspect that your account has been compromised or if you have violated these Terms.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for their intended purpose. This license does not include any right to resell, redistribute, or create derivative works based on the Services.

You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree not to: use the Services in any way that violates applicable law or regulation; upload, transmit, or distribute any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable; attempt to gain unauthorized access to any portion of the Services, other accounts, or any systems or networks connected to the Services; interfere with or disrupt the integrity or performance of the Services or the data contained therein; use any automated means, including robots, spiders, or scrapers, to access the Services without our prior written consent; reverse engineer, decompile, or disassemble any portion of the Services; or use the Services to build a competing product or service.

We reserve the right to determine, in our sole discretion, whether any use of the Services violates these Terms and to take appropriate action, including suspension or termination of access.

Certain features of the Services may be subject to fees. You agree to pay all applicable fees as described at the time of purchase or as set forth in your plan or subscription. All fees are non-refundable unless otherwise specified in writing or required by applicable law.

You authorize us to charge your designated payment method for all fees incurred. You are responsible for providing accurate payment information and for any taxes, including sales tax, VAT, or similar charges, that may apply to your use of the Services.

We may change our fees from time to time. We will provide reasonable notice of any fee changes. Continued use of paid features after such changes constitutes your acceptance of the new fees.

The Services, including all content, features, functionality, software, code, design, text, graphics, logos, and other materials, are owned by CodeAuthenticityCheck or our licensors and are protected by copyright, trademark, and other intellectual property laws. You do not acquire any ownership rights by using the Services.

You retain all rights to any content you upload to or create through the Services ("User Content"). By submitting User Content, you grant us a non-exclusive, royalty-free, worldwide, transferable license to use, store, process, and display your User Content solely as necessary to provide the Services to you and as described in our Privacy Policy.

We do not claim ownership of the code or repositories you upload for analysis. Our analysis and reports are generated for your use in accordance with these Terms. You are responsible for ensuring that you have the right to upload and analyze any content you submit.

The Services generate comparative technical analysis reports based on the content you provide. These reports are intended to provide technical indicators and supporting evidence for internal review, due diligence, and similar purposes. They are not intended to constitute legal advice, and we make no representation regarding their completeness, accuracy, or legal sufficiency for any particular purpose.

You are solely responsible for how you use, interpret, and act upon any reports or outputs generated through the Services. We disclaim any liability for decisions made based on such reports.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

We do not guarantee the accuracy, completeness, or reliability of any content, reports, or outputs generated through the Services. Technical analysis involves inherent limitations, and results may vary. You use the Services at your own risk.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CODEAUTHENTICITYCHECK, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100 USD).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

You agree to indemnify, defend, and hold harmless CodeAuthenticityCheck and its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: your use of the Services; your violation of these Terms; your violation of any third-party right, including any intellectual property or privacy right; any content you submit to the Services; or any dispute between you and a third party.

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense of such claims.

We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Upon termination, your right to use the Services will immediately cease.

You may terminate your account at any time by contacting us through the Support page. Upon termination, we may retain your information as permitted by our Privacy Policy and applicable law.

Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, disclaimers, indemnification, and limitations of liability.

These Terms shall be governed by and construed in accordance with the laws of the United States and the State of Delaware, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Services shall be resolved exclusively in the federal or state courts located in the State of Delaware, and you consent to the personal jurisdiction of such courts.

You agree that any claim or cause of action arising out of or related to your use of the Services or these Terms must be filed within one (1) year after such claim or cause of action arose, or it shall be forever barred.

These Terms, together with the Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and CodeAuthenticityCheck regarding the Services and supersede all prior agreements and understandings.

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign our rights and obligations under these Terms without restriction. Any assignment in violation of this section shall be void.
